Effective Date: Date of Purchase

This License Agreement (“Agreement”) is entered into between Codenia (“Licensor”) and the purchaser (“Licensee”) and governs the use of the Codenia Photo Editor for Android (the “Software”).

1. Grant of License

Upon purchase, the Licensor grants the Licensee a non-exclusive, non-transferable, perpetual license to use the Software in one (1) Android application, identified by its unique application ID (bundle ID).

A separate license must be purchased for each additional application.

2. Permitted Use

The Licensee may:

  • Integrate the Software into their Android application
  • Modify visual aspects such as colors, icons, and included assets
  • Distribute the Software only as part of a compiled application

3. Restrictions

The Licensee may not:

  • Use the Software in an application that primarily presents the Software as its central end-user feature, including by wrapping, rebranding, or republishing it as a standalone or near-standalone photo editor. For clarity, this restriction does not prohibit use of the Software in broader applications that include photo editing as one feature among others.
  • Resell, sublicense, rent, lease, or distribute the Software as a standalone product.
  • Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Software, except where permitted by applicable law.
  • Attempt to bypass, disable, or circumvent any license verification or watermark mechanism.
  • Share, reuse, or transfer the license key between different applications.

4. License Key

A valid license key unlocks the full version of the Software and removes the watermark from exported images.

The license key is generated based on the application ID (bundle ID) and must only be used with the licensed application.

5. Evaluation Use

The Software may be used without a license key for evaluation purposes without time limitation.

In evaluation mode, all exported images will contain a watermark indicating that the Software is used without a valid license.

6. Updates

The Licensor may provide updates, upgrades, or improvements at their sole discretion.

Unless explicitly stated at the time of purchase, the license does not include a guarantee of future updates or access to new versions.

7. Commercial Use

The Software may be used in commercial applications, including applications distributed for a fee or generating revenue, provided a valid license has been obtained.

8. Third-Party Components

The Software includes third-party components that are subject to their respective licenses, including the following:

The Licensor does not claim ownership of any third-party components, which remain subject to their respective licenses.

9. Disclaimer of Warranty

The Software is provided “as is” without warranty of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Licensor be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to the use or inability to use the Software.

11. Termination

This license is effective until terminated.

It will terminate automatically if the Licensee fails to comply with any of the terms of this Agreement.

Upon termination, the Licensee must cease all use of the Software.

12. Refund Policy

Due to the nature of digital goods, purchases are generally non-refundable unless required by applicable law.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Switzerland, excluding conflict of law principles.
